4. PREMIUM ACCESS AND CONTACTING EXPERTPLUG MEMBERS

1. GENERAL

1.1. Modifications

ExpertPlug reserves the right in its sole discretion to amend this Agreement without advance notice. Modifications to this Agreement will be posted on the Site or made in compliance with any notice requirements set forth in this Agreement. If any modification is not acceptable to you, your only recourse is to cease using the ExpertPlug Platform. By continuing to use the ExpertPlug Platform after ExpertPlug has posted any modifications on the Site or provided any required notices, you accept and agree to be bound by the modifications.
Except only as permitted above, no modification or amendment to this Agreement shall be binding upon either party unless in a written instrument signed by a duly authorized representative of each party.

1.2. License Terms

Each account is intended for one user. ExpertPlug will monitor and track users for multi-logon, and in case of suspicious multiuser access on one account, the user will have his/her account temporarily closed and the user will be contacted by an ExpertPlug administrator. If the user is found to be in violation of these terms, the account will be closed and the user will receive an invoice for the extra access plus a penalty.

1.3. Security

This website takes every precaution to protect your personal information. When you submit sensitive information via the website, your information is protected. ExpertPlug is not responsible for any reputational damage or prejudice which you experience by using the website.

All payments are made via the PayPal system. ExpertPlug cannot be held responsible for any payment issues between your account and PayPal.

Indemnity and release
You agree to indemnify, release and hold us harmless as well as our officers, directors, agents, representatives and employees from any claim, liability, loss, expense or demand, including legal fees, related to your violation of these Terms of Use or your access or use of this website or any of the information, materials, products or services available through this website.

Modification and discontinuation
We reserve the right at any time and from time to time to modify, edit, delete, suspend or discontinue, temporarily or permanently this website (or any portion thereof) and/or the information, materials, products and/or services available through this website (or any part thereof) with or without notice. You agree that we shall not be liable to you or to any third party for any such modification, editing, deletion, suspension or discontinuance of this website.

Entire understanding
These Terms of Use contain the entire understanding between you and us with respect to this website and no representation, statement, inducement oral or written, not contained herein shall bind any party to these Terms. Our failure to enforce any provision of these Terms of Use shall not be deemed a waiver of such provision nor of the right to enforce such provision. By creating a company account you allow ExpertPlug to display your company logo on its website as a user reference. If you wish your logo to be removed contact us and we will remove your logo from ExpertPlug page(s) within 48h.

2. PUBLICATION OF ON-SITE JOBS AND MATERIALS ON EXPERTPLUG

2.1. On site jobs publications

Publication of on site job ads are FREE recruiters pay only to display the details of the applications.
We encourage users to publish on site jobs in English to reach the entire community.
User cannot put links and websites addresses, email address or phone numbers: all communications will be through ExpertPlug's messaging system.

ExpertPlug at its own discretion will or will not remove or edit any content in the ads posted.

2.2.Publications general terms

2.2.1 Site Objective:

The site’s objective is to encourage sharing and valorization of expertise for authors via content, and indirectly, via the management of a user’s reputation on the platform from the insightful training published. Through ExpertPlug, authors may be contacted by or contact future customers.

ExpertPlug’s site policy is to publish only expertise sharing contributions, and not direct advertisement or promotions for companies. For instance if there is direct advertisement not providing any value to the visitors of the site, this document may be removed by the site. Companies who repeatedly break this rule without any agreement with the site could get their account closed.

Under specific conditions, companies may reach an agreement with ExpertPlug to post content describing their activities or products. Even in this case, the objective remains that the document provides valuable information to the visitors of the site.

2.2.2 Payment:

  • All prices are in EUR. Some products such as Amazon books are sold in USD.
  • All major credit cards are accepted via the Paypal payment platform on ExpertPlug
  • Upon purchase, the author will receive an invoice notice by email

2.3 Publications financial terms

2.3.1 Your Revenues as a Publisher:

When a customer buys material, you will receive most of the revenue generated by the material you published, ExpertPlug taking only 15% margin + a fix fee of $1,35. ExpertPlug reserves the right to decrease the price by 50% for the first 2 viewers of the training as incentive to rate the training. See the chapter "Money back for first raters" program for more details.

2.3.2 Your Payment:

After the end of each month your revenue generated by the training sold in that calendar month will be transferred to your PayPal account within 30 days.
To register on ExpertPlug, your PayPal account information is not required. If you contribute, in order to transfer your earnings, your PayPal account email is required. This can be entered in your profile, in the tab “REVENUE”, clicking on the link “Bank account details” on the left of the page. If you have not provided this data, your earnings will remain as credit on your account shown on the website until you provide your PayPal account information.

2.3.3 Money back for first raters:

ExpertPlug created the “Money back for first raters” program to ensure that customers are confident with their purchase. The concept is if you are in the first few people to buy a piece of material and rate it, you receive a refund of 50% of the original training cost. The money back rate is currently set to 50% but ExpertPlug reserves the right to adjust it. To receive the 50% refund, customers must complete the rating within 14 days of the purchase date.

The objective of the "Money back for first raters" program is to help the sales on a training to start in good conditions. It promotes the training, and makes it easier for the following visitors to estimate the value of the content. The revenue of the contributor on these first purchases of his training will be decreased of the money back percentage (ExpertPlug and the contributor's revenues are decreased in the same proportions). The contributor should set his target price taking this into account.

2.3.4 Pricing limitations:

Documents can be shared for free, in case of publishing a paying document the minimal price is set to 5 USD.

The price of material may be changed only once a month. This is to avoid pricing fluctuations which could be perceived negatively by the viewers. The site’s objective is to encourage sharing and valorization of expertise for authors and each account is limited in the amount of free material that can be published.

2.3.5 Use of elements of your document by ExpertPlug to market it online:

By publishing your document on ExpertPlug, you allow ExpertPlug to use the public part of it (Description, Preview, Table of Content, Keywords) to market it on
line on other platforms. ExpertPlug may use part of this information on forums or other websites or internet websites as a teaser to attract visitors and customers to the site overall and to your material page.

All rights reserved. The training materials on the website are the property of the experts who have posted it. No part of this material or lessons should be reproduced or transmitted in any form or by any means, electronic or mechanical including photocopying, recording or by any information storage retrieval. The training material is for an individual. No corporation, training classes, training institutes are allowed to use or reproduce this material for commercial use or classroom training. “SAP” is a trademark of SAP AG, Walldorf, Germany. SAP AG is not the publisher of any ExpertPlug material and is not responsible for it under any aspect. The same applies to any other software companies for which there is related material on ExpertPlug.

2.3.7 Company marketing material:

Companies may publish documents that present their services or the add-on solutions they sell. The objective is that companies share interesting information for the expert community (e.x. demos,...). In the publishing process, an ExpertPlug representative will work with the company if these guidelines are determined to be not met. By publishing on ExpertPlug, companies use a powerful platform to access the SAP community and promote services.

2.3.8 Pricing conditions for the company marketing materials:

As a launch deal, it is currently FREE to publish one document for 12 months, and $190 for 12 months for each extra document presenting a company or an add-on solution. Once the launch deal is over, the price will be of $300 for 6 months or $500 for 12 months for a document presenting a company or one add-on solution.
If you wish to publish several documents, just submit them, and during the moderation process we will give you the payment details.

Publication of training materials or white papers giving business or technical insights to experts remain free.

2.3.9. Accounts and publications management

The site maintains the right to terminate/delete a user account at any time. If so, if the user is owed payment, the user PayPal account will be credited of the amount on his account. If the user has not provided any PayPal account, his revenues will remain property of ExpertPlug until he provides a PayPal account by email or other mean. Account termination may happen if the user does not respect copyrights in his publication, has comments flagged as innapropriate, or any other activity deemed inappropriate by the ExpertPlug management . Account termination can also occur if the user does not respect any of the Terms & Conditions elements of the ExpertPlug site.

The site keeps the right to remove any publication, training, comment or other information on the website. This may happen especially if the user does not respect a professional standard in his contributions, comments, or any activity he has on the site. It can also happen if a contribution does not respect any of the Terms & Conditions elements of the site.

2.4 Liability

ExpertPlug is not liable for any errors occurring in the customers live application. ExpertPlug is solely a peer to peer training provider. We make allowances for typos, changes in taxes and tariffs, and temporary delivery access breakdowns on the Internet.

2.5 Warranty, Warning and Disclaimer on materials

This training material is sold as is, without warranty of any kind, either expressed or implied. All trainings on the website are not property of ExpertPlug, but of the Author having published it. All incorrect elements in these trainings are thus not of the responsibility of ExpertPlug. However, ExpertPlug asks users to alert ExpertPlug of any inappropriate or erroneous content, so that we can advise the author and, if necessary, remove the training from the website.

ExpertPlug assumes no responsibility for errors or omissions, as well as for any loss of data. Neither is any liability assumed for damages resulting from the use of the information or instructions herein. It is further stated that the publisher is not responsible for any damage or loss to your data or your equipment that results directly or indirectly from your use of this eLearning material.

At ExpertPlug, we want to ensure complete satisfaction when a product is purchased. Authors are asked to provide a detailed summary and preview to help potential customers make an informed purchase. Additionally, our team checks the quality of the product and we encourage the community to rate and comment on content.

If despite all of this, you purchase a training and you are unsatisfied with the content (for example, the content does not match Summary or Table of Contents), you have the possibility to request a refund via the Contact Us form. In this case, please clearly state your reason for the refund request in the body of the message. All refund requests must be made within 14 days of the purchase date. The ExpertPlug team will review your request on a case-by-case basis and will refund your purchase promptly if sufficient grounds are provided.

2.8 Seller Satisfaction Policy

In order to ensure the satisfaction of ExpertPlug’s user community, ExpertPlug reserves the right to cancel any payment performed on the platform. If this situation occurs, the reason will be indicated to the Author. A situation like this may arise, for instance, if a customer is not satisfied with a document purchase. Our customer service group will handle all requests on a case-by-case basis and if needed, will cancel payments. ExpertPlug’s customer service team will then inform the seller of the reason so that he can make appropriate adjustments to the content if needed.

3. ONLINE JOBS ON EXPERTPLUG

3.1. Application

These Terms and Conditions (Terms) contain the terms upon which you may use our website for services accessible via www.ExpertPlug.comin order to request services from or provide services to other users of the Website.

The terms "we","us","our" and "ours" when used in these Terms and Conditions( Terms ) mean ExpertPlug.com, a trading name of ExpertPlug SAS, a company incorporated in France, registered company number 539 959 288 ( ExpertPlug ) whose registered address is 27 rue du Chemin Vert, 75011 Paris, France.

The terms "Client(s)", "Service provider(s)", "Experts”, "user(s)" "you", "your" and "yours" when used in these Terms mean any user of the Website seeking to receive or provide Services.
A Service Provider can be represented by any natural or moral person providing services on the platform as freelancers, consultants or corporate employees, consultancies or other companies.

3.3. Your use of the Website

3.3.1 Purpose of ExpertPlug website:

The Website is a venue where services in relation to the completion of Online jobs or the performance of tasks (Services) may be bought and sold. The Website allows companies and/or individuals who require Services (Clients) to advertise their requirements (Onsite jobs or Online jobs) and companies or individuals who provide Services (Service provider) to submit proposals for those Service (Application). For the purpose of this agreement 'The Works' shall be taken to mean any tangible or intangible results or deliverables that Service provider agrees to create for, or actually deliver to, Client as a result of performing the Service on a particular online job, including, but not limited to, online training sessions, online consulting sessions, demonstration, configurations, computer programs or other information, or customized hardware, and any other IP development in connection herewith.
We will provide and maintain the Website in order to introduce Clients and Service providers and recruiters to candidates. You expressly agree that we are not party to any contract actually entered into between any Client and Service provider for any services rendered between service providers and clients.

3.3.2 Defining online job requirements:

Online consulting offers will be defined and advertised in job ads. Client is responsible for managing, inspecting, accepting and paying for agreed Services delivered by the Service provider. ExpertPlug is only facilitating the connection between clients and service providers and is not responsible for any work delivered by the service provider or cannot be held responsible for any

We screen all Jobs to ensure that we maintain a high quality of listings on the site. The following are not allowed and will be rejected or removed from the site (please use common sense as this list cannot be exhaustive):

  • Any online job containing contact details (e.g. email, telephone number) or any company details that can be used to contact the person posting the Job or any instructions on how to apply for the Job other than using ExpertPlug contact feature.
  • Any other performance-related remuneration which is deemed to be non-realistic or not clear
  • Any online job advertising or looking for anything illegal
  • Any online job that is defamatory or discriminatory in any way
  • Any online job that use foul/offensive language or content
  • Any online job that is simply advertising a service or website and prompting users to visit the website, instead of offering genuine work
  • Any online job that is offering unrealistic remuneration (either too high or too low) or asking for unrealistic results.
  • Any online job asking for someone to complete a university or other coursework assignment that is expected to be done by the student alone.

ExpertPlug at its own discretion will or will not remove or edit any content in the ads posted.

3.3.3 Approval of online jobs by ExpertPlug:

All online jobs are described in “online consulting” type. These online jobs are reviewed and approved by our customer care team to ensure the integrity of their content. This process can take up to 48 hours. Once approved the online job request will be published in the site and made public (ExpertPlug reserves the right to advertise it to online groups, forums and website as long as the name details of the client are only accessible to ExpertPlug members only.

3.3.4 Removal of Online jobs from the Site:

ExpertPlug will at its sole discretion disapprove or remove online jobs that have not been posted in accordance with the guidelines defined in section 3.3.3.
When posting a online job ads on ExpertPlug the user agrees to be contacted by ExpertPlug members who would like to offer there services.

3.5. Term, Termination and Suspension

3.5.1 Term:

These Terms shall become effective as your contractual agreement upon your acceptance or your use of the Site, and shall continue until your Account is terminated by ExpertPlug or you as provided for under the terms of this Section.

3.5.2 Suspension:

Without limiting ExpertPlug's other remedies, we may issue a warning, or temporarily suspend, indefinitely suspend or terminate your Account or a Online job, and refuse to provide any or all Site Services to you if: (a) you breach the letter or spirit of any terms and conditions of these Terms or policies and procedures we publish on our Site from time to time (b) we suspect or become aware that you have provided false or misleading information to us; or (c) we believe in our sole discretion that your actions may cause legal liability for you, our Users or for ExpertPlug or are contrary to the interests of the Site or the ExpertPlug user community. Once indefinitely suspended or terminated, you must not continue to use the Site under the same Account, a different Account, or re-register under a new Account.

3.5.3 Termination:

ExpertPlug reserves the right to terminate any User access, Account, for any reason or no reason, at its sole discretion and to refuse to provide registration and membership to you in the future. We will notify you if we cancel your membership, unless in our judgement giving notice would cause a risk of further violation or damages. However, we will notify you that your Account will be cancelled if the law requires such notification. When your Account is terminated for any reason, you may no longer have access to data, messages, files and other material you keep on the Site. Any material or ad may be deleted along with all your account.

3.6. Warranty Disclaimer

3.6.1 No warranty:

We make no warranty in respect of the Website or the Information whatsoever except as expressly contained in this section of these Terms. We will use all reasonable skill and care (in accordance with industry standards of good practice for comparable industries) to:
- verify the identities of Clients and Service provider
- investigate any alleged breach of these Terms and take appropriate action at our sole discretion
- process all Personal Data, as defined in French law

3.6.2 Interruption of service:

We (and our parent, subsidiaries, affiliates, officers, directors, agents and employees) do not guarantee continuous, uninterrupted or secure access to the Website, and you acknowledge and agree that operation of the Website may be interfered with by numerous factors outside of our control. The Website is provided "as is" and as and when available, and to the extent permissible by law except as expressly stated otherwise in these Terms we exclude all implied warranties, conditions or other terms, whether implied by statute or otherwise, including without limitation any terms as to skill and care or timeliness of performance.

3.6.3 Information control:

We do not control any Information provided by other users that is made available in the Website. You may find the Information to be harmful, inaccurate or deceptive. Your use of the Information and the Website is at your sole risk.

3.6.4 Service provider Warranties:

Where you use the Website as a Service provider you expressly make the following warranties:
- You have all necessary professional indemnity, employer's liability insurance and all other required insurances to the full extent required for the Services you provide;
- You are in good standing, and are not in violation of any applicable laws, rules or regulations;
- You have made and will make all required legal and tax filings, including VAT, income tax and any other relevant requirements. If relevant, you shall file all necessary
legal documentation relating to your self-employment required by any governmental body, and pay, in a timely manner, all applicable taxes including without limitation income tax and any insurance charges.

3.10. Limitation of Liability

3.10.1 Exclusion of Liability:

ExpertPlug Exclusion of Liability Nothing in these Terms shall limit or exclude our liability for fraudulent misrepresentation, or for death or personal injury resulting from our negligence or the negligence of our, agents or employees. Subject to the foregoing, we (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) will not be liable for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special, indirect or consequential damages arising out of or in connection with your use of the Website, the Information or these Terms.

We (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) also have no liability of any sort (including liability for negligence) for the acts or omissions of other Service providers or telecommunications services or for faults in or failures of their networks and equipment.

In the event that we are found liable by a court of competent jurisdiction, our liability to you or any third party, and the liability of our parent, subsidiaries, affiliates, officers, directors, agents and employees, in any circumstance is limited to the greater of (a) the total fees you have paid to us in the one month period prior to the action giving rise to the liability, and (b) €109.

3.11. Indemnity

You expressly agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim, demand or loss, including all legal fees, made by any third party arising out of
- your breach of these Terms or use of the Websitewebsite or Information;
- any failure to pay or underpayment in respect of any applicable taxes including without limitation all applicable taxes including without limitation income tax and any insurance charges.
This indemnity shall not apply where such claim, demand or loss arises solely due to (a) our negligence or (b) our breach of these Terms.

3.13. Remedies

Without limiting other remedies, we may immediately remove you, warn other users of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your access to the Websitewebsite if:
- you breach these Terms or any terms incorporated by reference to these Terms;
- we are unable to verify or authenticate any information you provide to us; or
- we believe, at our sole discretion, that your actions may cause any loss or liability for you, our Users or us.

3.13. General

3.13.1 Assignment:

You agree that these Terms and all incorporated agreements may be automatically assigned by us, in our sole discretion, to a third party in the event of a merger or acquisition or similar corporate transaction. You may not assign, license or sub-contract any of your rights or obligations under this User Agreement.

3.13.2 Account and ID information management:

Your ExpertPlug account (including feedback) and User ID may not be transferred or sold to another party without our prior written consent. If you are registering as a business entity, you represent that you have the authority to bind the entity to these Terms.

3.13.3 Law & Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of France and you hereby submit to the exclusive jurisdiction of the French courts.

So that each member can contact punctually another expert, contacting a few ExpertPlug members per month is FREE. Premium members can contact more members and enjoy extra benefits.
